3. Scope of Services
Bitspire Ltd provides professional IT consulting, software development, cloud architecture, cybersecurity, blockchain integration, and white-label licensing services.
The Company also operates an online webshop through which Clients may purchase digital services, including but not limited to:
Software and application development
Cloud infrastructure design and DevOps services
Blockchain and tokenization solutions
White-label licenses for Bitspire Ecosystem products (including LandBits and SurpriseMap platforms)
Ongoing maintenance and technical support
All services are offered subject to availability, applicable laws, and these Terms of Use.
4. White-Label Licensing
Bitspire offers regional and international white-label licenses granting Clients limited rights to operate our proprietary software platforms under their own branding.
Each license agreement is governed by a separate White-Label License Contract, which defines:
Scope and territory of exclusivity
Licensing fees and payment terms
Technical support and update conditions
Revenue-sharing arrangements
Restrictions on resale, sublicensing, or modification
Clients purchasing a white-label license through the webshop acknowledge that such licenses are non-transferable, non-refundable, and subject to compliance with all applicable laws and contractual obligations.
5. Intellectual Property Rights
All materials, content, source code, trademarks, designs, and software provided or displayed by Bitspire are the exclusive property of Bitspire Ltd or its licensors.
Nothing in these Terms grants the Client ownership of any intellectual property.
Clients are granted a limited, non-exclusive, non-transferable license to use the purchased services or software solely for their intended purpose.
Any reproduction, distribution, modification, or reverse engineering of Bitspire’s intellectual property without written authorization is strictly prohibited.
6. Service Orders and Payment
6.1. Ordering
Clients may order services via our online webshop or through a formal written agreement. All orders are subject to acceptance by Bitspire.
6.2. Pricing
All prices are listed in Euros (EUR) unless stated otherwise.
Bitspire reserves the right to modify pricing, service descriptions, or availability without prior notice.
Quoted prices do not include applicable taxes, duties, or transaction fees.
6.3. Payment Terms
Payments must be made in full and cleared before the commencement of services unless otherwise agreed in writing.
For subscription or maintenance services, recurring payments may apply. Failure to pay on time may result in suspension or termination of service.
6.4. Deposits
Certain projects or license agreements may require a non-refundable deposit before initiation. This deposit will be applied toward the total project cost.
7. Client Responsibilities
Clients agree to:

Ensure all materials or data provided to Bitspire comply with applicable laws.
Use Bitspire’s products and services only for lawful business purposes.
Not attempt to gain unauthorized access, alter, or interfere with any Bitspire systems or networks.
Bitspire is not responsible for delays or damages caused by inaccurate, incomplete, or late information provided by the Client.
8. Confidentiality
Both parties agree to treat all non-public business, technical, or financial information exchanged during cooperation as confidential.
Confidential information shall not be disclosed to any third party without prior written consent, except as required by law.
9. Data Protection
Bitspire processes personal data in accordance with its Privacy Policy, which forms an integral part of these Terms.
By using our services, you acknowledge and consent to the collection, processing, and storage of your data as described in that Policy.
10. Warranties and Disclaimers
Bitspire strives to provide high-quality, secure, and reliable technology solutions.
However, unless explicitly stated in a written agreement:
All services are provided on an “as is” and “as available” basis.
Bitspire makes no warranties, expressed or implied, regarding uninterrupted service, specific performance results, or suitability for a particular purpose.
Bitspire shall not be held liable for indirect, incidental, or consequential damages arising from the use or inability to use its services or software.
11. Limitation of Liability
To the maximum extent permitted by law, Bitspire’s total liability to any Client shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.
Bitspire shall not be liable for:
Loss of data, profits, or goodwill
Downtime or system unavailability caused by third-party providers
Unauthorized access or cyber incidents beyond reasonable control
Client’s misuse of the platform or breach of these Terms
12. Termination
Bitspire reserves the right to terminate or suspend any account or service without prior notice if:
The Client violates these Terms
Payment obligations are not met
Fraudulent or abusive activity is detected
Upon termination, the Client must immediately cease using Bitspire’s systems and destroy any confidential materials obtained through the service.
13. Refunds and Cancellations
Refunds are governed by our Refund Policy, which specifies eligibility, timelines, and exceptions.
In general, deposits, white-label license fees, and completed service phases are non-refundable once initiated or delivered.
14. Third-Party Services
Some services or integrations may involve third-party tools, APIs, or platforms.
Bitspire is not responsible for the availability, accuracy, or security of third-party systems.
Clients agree to comply with all applicable third-party terms and policies when using such integrations.
15. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Georgia.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Tbilisi, Georgia.
16. Force Majeure
Bitspire shall not be held liable for failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, power outages, cyberattacks, war, or government restrictions.

18. Entire Agreement
These Terms of Use, along with any applicable service agreements, Privacy Policy, and Refund Policy, constitute the entire agreement between Bitspire Ltd and the Client, superseding all prior communications or representations.
