1. INTRODUCTION, PURPOSE & LEGAL BINDING NATURE

1.1 Scope of Policy: This Refund, Return & Cancellation Policy (“Policy”) governs all purchases, digital credit allocations, SaaS subscriptions, Master License Fee settlements, and payment transactions executed across the digital ecosystem owned and operated by Bitspire LLC (“Bitspire,” “Company,” “we,” “our,” or “us”).

1.2 Binding Agreement: Because our ecosystem delivers automated, cloud-based Software-as-a-Service (SaaS) products, instant API key generation, automated database credit allocations, and real-time digital operational rights, ALL PURCHASES ARE EXECUTED ON A STRICTLY FINAL AND NON-REFUNDABLE BASIS, subject only to the narrow, verified technical exceptions explicitly defined in Section 8 of this Policy.

1.3 Mandatory Checkout Acceptance: By purchasing a LandBits Coordinate Package, executing a Master License Agreement, submitting an installment payment, or initiating a transaction via bitspire.eu, direct bank wire transfer, or digital asset engine, you explicitly confirm that you have read, understood, and agreed to be legally bound by this Policy and our Master Terms of Use.

3. SCOPE OF COVERED PRODUCTS & TWO-PILLAR STRUCTURE

This Policy applies universally across all commercial product lines within the Bitspire Ecosystem:

  • PILLAR I — LandBits Coordinate License Packages (landbits.io): Standalone digital software grid units (“LandUnits” or “LandTiles”) purchased in standardized packages (Silver $10.00 USD, Gold $100.00 USD, Diamond $1,000.00 USD) used to assign 10×10 meter software grid allocations on the 1:1 map engine interface.

  • PILLAR II — SurpriseMap Master Licenses (surprisemap.com / bitspire.eu): Specialized B2B SaaS operational rights granting business entities (“Master Licensees”) exclusive regional or national operating authority over location-based ad networks within a designated Territory.

  • SurpriseMap Campaign Tools: Digital advertiser tools, coupon deployment systems, and geolocational campaign placement utilities managed via the platform.

4. STATEMENT ON PHYSICAL GOODS & INSTANT DIGITAL PROVISIONING

4.1 Zero Physical Goods: Bitspire LLC deals exclusively in cloud-based software tools, digital map coordinate allocations, and SaaS platform licenses. Bitspire LLC does not manufacture, store, warehouse, ship, or deliver physical products. Consequently, NO PHYSICAL RETURNS, MAIL-IN EXCHANGES, OR PHYSICAL RETURN PROCEDURES EXIST.

4.2 Instant Digital Delivery Mechanics: Upon successful card authorization on bitspire.eu, or the verified clearing of a SEPA/SWIFT bank wire transfer, Bitspire’s automated billing engines instantly dispatch electronic receipts, generate software license credentials, and apply digital credit ledger entries to your registered account in real time. Digital fulfillment is legally complete at the exact moment database credits or access tokens are posted to your account ledger.

5. ABSOLUTE UNIVERSAL ZERO-REFUND BASELINE

5.1 Universal Baseline Rule: EXCEPT AS EXPLICITLY PROVIDED IN SECTION 8 (NARROW TECHNICAL EXCEPTIONS), ALL SALES, PRODUCT PURCHASES, MASTER LICENSE FEES, DEPOSITS, AND INSTALLMENT PAYMENTS EXECUTED WITH BITSPIRE LLC ARE STRICTLY FINAL, FULLY EARNED, AND 100% NON-REFUNDABLE.

5.2 Universal Currency Standard: All product valuations, packages, Master License Fees, and transactions across all Bitspire portals are strictly denominated and settled in United States Dollars (USD).

5.3 No “Cooling-Off” Period for Digital Software: You explicitly acknowledge that digital software utility assets and SaaS access rights are instantly provisioned upon payment. By executing a transaction, you grant explicit consent for immediate software delivery and acknowledge that you waive any statutory right of withdrawal, “cooling-off” period, or consumer change-of-mind refund rights once digital execution has commenced.

6. PILLAR I: LANDBITS SPECIFIC REFUND & NON-REFUNDABILITY RULES

6.1 Instant Allocation Finality: LandBits Coordinate License Packages (Silver $10.00 USD, Gold $100.00 USD, Diamond $1,000.00 USD) are instantly credited to the purchaser’s landbits.io account database upon payment confirmation.

6.2 Strict Non-Refundable Scenarios for LandBits: Refunds shall NEVER be issued for LandBits packages or units under any of the following circumstances:

  • Assigned or Unassigned Coordinates: Whether LandUnits have been assigned to specific 10×10 meter map coordinates or remain as unassigned credit balances in the user’s dashboard, all purchases are 100% non-refundable from the moment of transaction execution;

  • Zero Variable Ad Distribution Outcomes: Lack of third-party advertising campaigns, zero variable ad fee distributions over selected coordinates, or lower-than-anticipated commercial activity;

  • User Change of Mind: Subjective dissatisfaction with map interface graphics, feature preferences, or changes in personal financial circumstances;

  • KYC/AML Failure: Inability or refusal of the user to provide mandatory identity verification documentation (KYC) required for variable ad distribution payouts. KYC failure does not invalidate completed software credit purchases;

  • Account Termination for Cause: Suspension or termination of an account due to bot farming, GPS spoofing, API abuse, or prohibited content violations.

7. PILLAR II: SURPRISEMAP MASTER LICENSE REFUND, INSTALLMENT & CANCELLATION RULES

7.1 Absolute B2B License Non-Refundability: A SurpriseMap Master License grants exclusive regional B2B SaaS operating rights. Upon payment authorization (whether via card on bitspire.eu, bank wire transfer, or digital asset transfer), Bitspire LLC immediately reserves territorial exclusivity, provisions Admin Panel access, and locks global system registries. THE MASTER LICENSE FEE—AND ANY PART, DEPOSIT, OR INSTALLMENT THEREOF—IS STRICTLY, ABSOLUTELY, AND UNCONDITIONALLY NON-REFUNDABLE.

7.2 Master License Payment Structures & Installment Rules:

  • Single Lump-Sum Payments: Lump-sum Master License Fees are fully earned upon receipt and non-refundable under any circumstances.

  • Scheduled Installments: Where a Master License Fee is paid via agreed recurring installments (e.g., monthly or quarterly), each installment payment is non-refundable once paid.

7.3 Default, Suspension & Forfeiture for Late Installments:

  • Automatic Suspension: If a Master Licensee fails to successfully settle any scheduled installment payment by its due date, Master License rights and Territory Exclusivity automatically suspend at 00:00 CET on the day immediately following the due date.

  • Automatic Termination (7-Day Cure Window): If the payment default is not fully cured within seven (7) calendar days following suspension, the Master License automatically terminates without further notice.

  • Total Forfeiture of Previously Paid Fees: Upon termination for non-payment, territorial rights revert immediately to Bitspire LLC. NO PREVIOUSLY PAID INSTALLMENTS OR DEPOSITS SHALL BE REFUNDED OR CREDITED BACK TO THE MASTER LICENSEE.

7.4 No Refunds for Local Commercial Outcomes: No refunds, fee reductions, or payment postponements shall be granted due to local market conditions, App Store rejection of localized builds, advertiser onboarding delays, or Master Licensee’s local commercial insolvency.

8. STRICTLY NARROWED TECHNICAL REFUND EXCEPTIONS & APPLICATION PROCEDURE

8.1 Exclusive Technical Exception Scenarios: A full refund will be issued EXCLUSIVELY AND SOLELY under the following two verified technical conditions:

  1. Verified Duplicate Transaction: A technical glitch, payment gateway processing loop, or bank API error results in multiple identical charges for a single digital order. (The duplicate charge will be refunded in full).

  2. Unresolved Technical Non-Delivery of Access: An automated backend server or API breakdown prevents the digital credit allocation of purchased LandUnits or Master License credentials to the user’s account, AND Bitspire’s technical engineering team fails to manually resolve the allocation failure within forty-eight (48) hours following receipt of written notification.

8.2 Mandatory Refund Claim Procedure: To apply for a refund under Section 8.1, the purchaser must send a formal written claim to office.bitspire@gmail.com containing:

  • Registered legal name, business entity name (if applicable), and account email address;

  • Official Order ID, invoice number, and transaction reference code;

  • Exact payment method used (credit card via bitspire.eu, bank wire reference, or digital asset hash);

  • Detailed technical explanation and screenshot/log evidence demonstrating the duplicate charge or non-delivery bug.

8.3 Evaluation Timeline & Execution:

  • Acknowledgement: Our compliance team will acknowledge receipt of the refund application within two (2) business days.

  • Log Audit & Verification: Claims will be audited against server dispatch ledgers, API event logs, and payment gateway response tokens within five (5) business days.

  • Settlement Channel: Approved technical refunds will be credited EXCLUSIVELY back to the original payment card, bank account, or payment gateway account used at checkout. Cash refunds or transfers to third-party accounts are strictly prohibited to prevent money laundering and financial fraud.

9. FRAUDULENT CHARGEBACKS, AUDIT LOGS & $250.00 USD PENALTY PROTOCOL

9.1 Immutable Server Proof of Fulfillment: Bitspire LLC maintains real-time server database ledgers capturing purchaser IP addresses, checkout timestamps, card authorization response tokens, and credit allocation timestamps. These audit logs provide conclusive, legally binding proof of SaaS delivery.

9.2 Fraudulent Dispute Prohibition: Initiating a credit card chargeback, bank dispute, or payment reversal without first contacting Bitspire LLC support to seek resolution under this Policy constitutes a material breach of contract and an unlawful act.

9.3 Sanctions for Unauthorized Chargebacks: If a customer or Master Licensee initiates an unauthorized chargeback or payment reversal:

  • Immediate Account Termination: All associated LandUnits, assigned map coordinates, SaaS Admin Panel access, and digital API tokens shall be immediately frozen, revoked, and forfeited without compensation;

  • Submission of Server Audit Trail: Server logs, IP tracking data, and checkout acceptance records will be submitted directly to acquiring banks, issuing banks, and card networks (Visa/Mastercard) to defeat the dispute;

  • Fixed Administrative Penalty: The purchaser explicitly agrees to pay Bitspire LLC a fixed administrative penalty fee of Two Hundred Fifty United States Dollars ($250.00 USD) per disputed transaction, plus all associated bank chargeback fines and legal recovery costs incurred by Bitspire LLC.

10. GOVERNING LAW & JURISDICTION

This Refund, Return & Cancellation Policy shall be governed by, construed, and enforced strictly in accordance with the substantive laws of Georgia. Any legal disputes or claims arising out of or related to refund claims, billing, or digital product delivery shall be submitted to the exclusive jurisdiction of the competent courts in Tbilisi, Georgia.
