1.2 Definitions: Throughout this Master Terms of Use & Service Agreement (“Terms” or “Agreement”):

• “Bitspire,” “Company,” “we,” “our,” or “us” refers strictly to Bitspire LLC.
• “User,” “Client,” “Account Holder,” or “you” refers to any natural person or legal business entity that accesses, browses, registers an account with, interacts with, or purchases digital software items, coordinate credits, or SaaS platform licenses from Bitspire LLC.
• “Ecosystem” refers collectively to the software, backend architecture, APIs, mobile applications, databases, and mapping interfaces owned and maintained by Bitspire LLC.

2. ACCEPTANCE OF TERMS & TWO-PILLAR SYSTEM STRUCTURE

2.1 Binding Agreement: By accessing any website operated by Bitspire LLC, creating a user account, downloading our applications, or purchasing any digital products or licenses, you explicitly, unconditionally, and irrevocably agree to be bound by these Terms and our Privacy Policy. If you do not agree with every provision set forth herein, you are strictly prohibited from using our websites, platform portals, software applications, and SaaS infrastructure.

2.2 Clear Separation of Product Pillars: Bitspire LLC operates two entirely distinct, non-overlapping commercial product categories within its software ecosystem:

• PILLAR I — LandBits Virtual Play Area Grid Units (Digital Software Credits): Standalone digital software coordinate units (LandUnits/LandTiles) representing virtual 10×10 meter play area grid allocations on the landbits.io software interface. Governed by Part II and Annexure A of these Terms.
• PILLAR II — SurpriseMap Master White-Label Licenses (B2B Regional SaaS Rights): Exclusive regional or national B2B operating licenses granting business entities the right to commercialize location-based ad media across designated geographical boundaries. Governed by Part III of these Terms.

2.3 Currency Standard: All transactions, product pricing, credit valuations, license fees, and financial accounting across all Bitspire portals are strictly processed and denominated in United States Dollars (USD).

3. USER ELIGIBILITY, ACCOUNT REGISTRATION & SECURITY

3.1 Age Requirement: You must be at least eighteen (18) years of age, or the legal age of majority in your jurisdiction, whichever is higher, to register an account, purchase digital assets, or execute agreements with Bitspire LLC. If you are under the legal age of majority, you are strictly prohibited from utilizing our platforms or submitting personal data.

3.2 Account Security & Registration:

• To access certain platform features, purchase LandBits units, or manage a Master License, you must complete the registration process by providing accurate, current, complete, and verifiable legal information.
• You are solely responsible for maintaining the strict confidentiality of your account credentials, login passwords, and API access keys.
• All activities, transactions, and commitments executed under your account credentials shall be legally deemed as executed directly by you. Bitspire LLC shall not be liable for any unauthorized access or loss resulting from user credential compromise.

3.3 Non-Transferability: User accounts, dashboard access rights, and registered software credentials are non-transferable and may not be sold, assigned, leased, shared, or pledged to any third party without the express prior written consent of Bitspire LLC.

4. MANDATORY KYC (KNOW YOUR CUSTOMER) & AML COMPLIANCE

4.1 Anti-Money Laundering (AML) Duty: Bitspire LLC strictly complies with international Anti-Money Laundering (AML), Counter-Terrorist Financing (CTF), and financial sanctions regulations.

4.2 Verification Triggers: Bitspire LLC enforces mandatory identity verification (KYC/KYB) procedures prior to:

• Processing any payout, withdrawal, or distribution of variable ad fee allocations;
• Settling regional Master License revenue accounts;
• Executing high-value credit card or wire transfer transactions exceeding regulatory safety thresholds.

4.3 KYC Documentation: Verification requires submitting authentic, government-issued photo identification (passport or national ID card), proof of residential/business address (utility bill or bank statement issued within the last 3 months), corporate registration certificates, Ultimate Beneficial Owner (UBO) declarations, and tax identification numbers.

4.4 Right to Freeze / Halt Accounts: Bitspire LLC reserves the absolute right to immediately freeze, suspend, or terminate any user account, pending payout, or digital credit balance if:

• The user fails or refuses to provide complete, authentic, and verifiable KYC/KYB documentation upon request;
• Fraudulent transaction activity, stolen payment credential usage, or money laundering patterns are detected or suspected;
• The user appears on any international sanctions lists (including OFAC, EU, UN, or UK sanctions databases).

5. INTELLECTUAL PROPERTY RIGHTS & SOFTWARE OWNERSHIP

5.1 Exclusive Property: All intellectual property rights in and to the Bitspire Ecosystem—including but not limited to source code, platform architecture, smart contracts, backend logic, 2D/3D map grid designs, UI/UX layouts, databases, algorithms, API infrastructure, logos, trademarks (Bitspire, LandBits, SurpriseMap), and technical documentation—are the exclusive property of Bitspire LLC or its licensors.

5.2 Limited License Grant: Subject to compliance with these Terms, Bitspire LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use our web portals and applications strictly for their intended functional purposes.

5.3 Prohibited Actions: You shall not, directly or indirectly:

• Copy, modify, decompile, reverse engineer, disassemble, or extract source code from any Bitspire software component;
• Scrape, harvest, or aggregate platform data, map grid data, or user information via automated scripts, bots, or web crawlers;
• Attempt to bypass, breach, or compromise platform security measures, server infrastructure, API endpoints, or payout distribution logic;
• Use Bitspire trademarks, logos, or brand identifiers without prior written authorization.

6. SERVICE DISCLAIMERS & STANDARDIZED SaaS LIMITATIONS

6.1 Automated Digital SaaS Delivery: Bitspire LLC operates strictly as a standardized, fully automated cloud Software-as-a-Service (SaaS) provider. Bitspire LLC does NOT provide manual consulting services, bespoke software development, hourly IT labor, agency marketing services, or custom engineering under standard online checkout orders.

6.2 “As Is” & “As Available” Service Provision: All platform utilities, map interfaces, mobile applications, and software access rights are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory.

6.3 Cloud Infrastructure Uptime: While Bitspire LLC employs enterprise-grade infrastructure to target 99.9% server uptime, we do not warrant that platform operations will be completely uninterrupted, error-free, immune to third-party cyberattacks, or compatible with every hardware configuration.

7. LIMITATION OF LIABILITY & INDEMNIFICATION

7.1 Exclusion of Indirect Damages: To the maximum extent permitted by applicable law, Bitspire LLC, its directors, officers, employees, affiliates, and technical partners shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages—including but not limited to loss of profits, loss of anticipated revenue, business interruption, loss of data, or reputational damage—arising out of or in connection with the use of our platforms, software, or digital assets.

7.2 Aggregate Liability Cap: In any event, Bitspire LLC’s total aggregate cumulative liability for all direct claims, losses, or legal causes of action arising under or related to these Terms or platform usage shall be strictly capped at and shall not exceed the lower of:

• The total amount actually paid by you to Bitspire LLC for the specific product, credit package, or license fee during the three (3) months immediately preceding the event giving rise to liability; or
• One Thousand United States Dollars ($1,000.00 USD).

7.3 Indemnification: You agree to defend, indemnify, hold harmless, and reimburse Bitspire LLC, its directors, officers, employees, and agents from and against any third-party claims, liabilities, damages, fines, penalties, costs, and legal expenses (including reasonable legal fees) arising out of or related to:

• Your breach of any provision of these Terms;
• Your violation of any applicable local or international law or regulation;
• Your submission or distribution of unauthorized, illegal, or offensive promotional content across the Ecosystem;
• Any fraudulent activity or unauthorized chargeback initiated under your account.

8. GOVERNING LAW & JURISDICTION

8.1 Governing Law: These Terms, and any dispute, controversy, or claim arising out of or in connection with them, shall be governed by, construed, and enforced strictly in accordance with the substantive laws of Georgia, without giving effect to any conflict of law principles.

8.2 Exclusive Venue & Dispute Resolution:

• Any legal dispute, claim, or litigation arising out of or relating to Bitspire LLC, these Terms, platform usage, LandBits units, or Master Licenses shall be submitted to the exclusive jurisdiction of the competent court of general jurisdiction in Tbilisi, Georgia.
• You explicitly submit to the personal jurisdiction of the courts of Tbilisi, Georgia, and waive any objection as to inconvenient forum.

8.3 Class Action Waiver: To the fullest extent permitted by law, all claims and disputes must be resolved on an individual basis. You explicitly waive any right to bring, join, or participate as a plaintiff or class member in any class action, collective lawsuit, or representative proceeding against Bitspire LLC.

PART II: LANDBITS — VIRTUAL PLAY AREA GRID UNITS (DIGITAL MAPPING CREDITS)

9. LEGAL NATURE OF LANDUNITS, CONTRACTUAL STATUS & STRICT DISCLAIMERS

9.1 Virtual Play Area Software Units: LandBits digital units (variously referred to on our portals as “LandUnits,” “LandTiles,” “Virtual Grid Units,” or “Digital Coordinates”) sold through bitspire.eu, landbits.io, or associated Bitspire software systems constitute strictly virtual, cloud-based software coordinate allocations representing a 1:1 scale digital grid overlay of 10×10 meter (100 m²) play area zones on the landbits.io software map interface.

9.2 ABSOLUTE DISCLAIMER OF REAL ESTATE AND PHYSICAL PROPERTY RIGHTS:

• NO REAL ESTATE OR REAL PROPERTY RIGHTS: LandUnits DO NOT constitute physical real estate, real property, land ownership, soil rights, mineral rights, air rights, tenancy, or alienable real property titles of any kind in the physical world.
• NO TITLE OR REGISTRATION: Purchasing LandUnits does not grant any deed, land registry entry, or legal interest in physical geographic locations, buildings, transit corridors, or infrastructure located at those coordinates in the physical world.
• NO EMINENT DOMAIN OR ACCESS RIGHTS: Holding LandUnits grants zero right to physically enter, occupy, alter, or restrict physical real-world property or locations.

9.3 ABSOLUTE DISCLAIMER OF FINANCIAL INSTRUMENTS, SECURITIES & WEBS ASSETS:

• NO FINANCIAL INSTRUMENT OR SECURITY: Purchasing LandUnits DOES NOT constitute a financial instrument, securities contract, equity holding, debt instrument, bank deposit, capital investment, derivative, collective investment scheme, or regulated investment product under any jurisdiction worldwide.
• NO CRYPTOCURRENCY OR NFT: LandUnits and platform credit balances ARE NOT cryptocurrencies, Web3 cryptographic tokens, or Non-Fungible Tokens (NFTs). They carry no alienable blockchain ownership outside the proprietary software databases and backend ledgers of Bitspire LLC.
• PROPRIETARY LEDGER ENTRIES ONLY: All LandUnits, account balances, and mapping credits are proprietary software ledger entries internal to the Bitspire Ecosystem, serving solely as functional parameters within our digital advertising software.

9.4 CONTRACTUAL ACCESS RIGHT ONLY: Your holding of LandUnits represents a limited, revocable, non-transferable contractual right granted by Bitspire LLC to utilize specific software coordinates solely within the internal operational features of the Bitspire Ecosystem, subject strictly to these Terms.

10. PURCHASING LANDBITS PACKAGES, PRICING STRUCTURE & USD STANDARD

10.1 Digital Credit Packages: Users may purchase standardized LandBits Coordinate License Packages through our automated checkout portals on bitspire.eu or landbits.io. All purchases credit digital LandUnit balances to the buyer’s verified landbits.io user account in real time upon payment authorization:

• Silver Package: $10.00 USD — Grants 100 LandUnits (Equivalent to 10,000 m² / 1 Hectare Virtual Play Area Allocation at $0.10 USD per LandUnit).
• Gold Package: $100.00 USD — Grants 1,000 LandUnits (Equivalent to 100,000 m² / 10 Hectares Virtual Play Area Allocation at $0.10 USD per LandUnit).
• Diamond Package: $1,000.00 USD — Grants 10,000 LandUnits (Equivalent to 1,000,000 m² / 1 km² Virtual Play Area Allocation at $0.10 USD per LandUnit).

10.2 Base Unit Pricing & Valuation:

• The base unit price of unassigned LandUnits is set by Bitspire LLC at its sole discretion at $0.10 USD per 10×10 meter digital coordinate unit.
• All pricing, credit package valuations, and platform transactions are strictly denominated and processed in United States Dollars (USD). Prices exclude applicable local sales taxes, VAT, or digital service taxes unless explicitly stated at checkout.

10.3 Coordinate Selection & Assignment: Upon purchasing a LandBits package, digital credits are instantly applied to the user’s landbits.io account dashboard. Users may immediately browse the global map interface and assign their credits to available 10×10 meter coordinates. Once assigned, coordinate allocations are locked to the user’s account ledger within the software environment.

11. VARIABLE AD PERFORMANCE DISTRIBUTION DISCLAIMER & NO YIELD GUARANTEE

11.1 Performance-Based Distribution Mechanism: Holders of assigned LandUnits on landbits.io may become eligible to receive variable ad performance fee distributions when third-party advertisers or regional Master Licensees launch active, funded location-based ad campaigns over those exact geographic coordinates via the SurpriseMap mobile application.

11.2 NO PASSIVE INCOME OR GUARANTEED RETURN:

• EXACT $0.00 USD DISTRIBUTION RULE: Variable ad performance distributions are strictly performance-based, non-guaranteed, speculative, and contingent upon third-party ad campaign spend. IF NO ACTIVE ADVERTISING CAMPAIGNS RUN OVER YOUR ASSIGNED COORDINATES, THE VARIABLE AD PERFORMANCE DISTRIBUTION IS EXACTLY $0.00 USD.
• NO YIELD CONTRACT OR EXPECTATION OF PROFIT: Bitspire LLC DOES NOT guarantee passive income, recurring yield, fixed return on investment, commercial campaign volume, or value appreciation for any LandBits package or digital coordinate unit. You explicitly acknowledge that you purchase LandBits packages for their software utility and promotional functions, without any expectation of guaranteed profit or passive financial returns.
• INHERENT VOLATILITY & FLUCTUATION: Ad distribution rates vary depending on market demand, advertiser budgets, player engagement in SurpriseMap, and regional campaign density. Historical ad campaign activity over specific coordinates is no indicator or guarantee of future distributions.

11.3 Mandatory KYC & Tax Compliance for Payouts: Any accrued variable ad fee balance credited to a user’s landbits.io dashboard is payable via bank wire transfer strictly following:

• Completion of mandatory KYC/AML identity verification (Section 4);
• Submission of valid commercial tax invoices or tax declarations required by applicable local law;
• Compliance with international banking payout rules and minimum withdrawal thresholds.

12. NO FIDUCIARY DUTY, FINANCIAL LICENSING DISCLAIMER & USER ACKNOWLEDGMENTS

12.1 No Financial Services or Licensing: Bitspire LLC is a software development company providing cloud SaaS platforms. Bitspire LLC:

• Is NOT a bank, financial institution, deposit-taking entity, payment institution, or credit provider;
• Is NOT a securities broker, dealer, financial advisor, asset custodian, or investment manager;
• Does NOT hold a financial services license, securities exchange license, or banking charter in any jurisdiction.

12.2 No Fiduciary Duty: No fiduciary, custodial, agency, or advisory relationship is created between Bitspire LLC and any user through the purchase of LandBits packages, holding of LandUnits, or usage of our software platforms.

12.3 User Representations & Risk Acknowledgment: By purchasing LandBits packages, you explicitly represent and warrant that:

• You are sufficiently experienced, educated, and knowledgeable regarding digital software products, SaaS platforms, and digital advertising tools to evaluate the risks of your purchase;
• You act entirely on your own initiative and at your own risk, having conducted your own independent assessment of platform features;
• You acknowledge that digital software utility assets carry no inherent monetary liquidity outside platform functions and may experience zero commercial utilization;
• You have not relied on any representation, statement, marketing presentation, or financial projection made by Bitspire LLC or its affiliates regarding future commercial earnings or coordinate values.

13. INSTANT SAAS DIGITAL FULFILLMENT & AUDITABLE PROOF OF DELIVERY

13.1 Instant Electronic Delivery: LandBits credit packages, platform mapping tools, and software utility credentials are strictly classified as digital Software-as-a-Service (SaaS) products. Upon successful card payment authorization on bitspire.eu or settlement of a bank wire transfer, Bitspire’s automated systems immediately dispatch electronic invoices and instantly credit the purchased LandUnit balance to the purchaser’s landbits.io account in real time.

13.2 Irrefutable Proof of Fulfillment: Electronic software delivery and instant digital asset provisioning are logged automatically in real time via Bitspire’s cloud server ledgers, including:

• Server-side database credit allocation timestamps and transaction logs;
• User account registration IDs and login activity logs;
• Purchaser IP addresses, geolocation data, and checkout transaction reference codes.

You explicitly agree that these server logs, timestamps, and database records constitute conclusive, irrefutable, and legally binding proof of digital fulfillment against any claim of non-delivery or failure of service.

14. ABSOLUTE NON-REFUNDABLE POLICY & BINDING CHARGEBACK WAIVER

14.1 STRICT ZERO REFUND GUARANTEE: Due to immediate electronic delivery, instant account credit allocation, real-time database ledger activation, and the non-returnable nature of digital software assets, ALL PURCHASES OF LANDBITS COORDINATE LICENSE PACKAGES (SILVER, GOLD, DIAMOND) ARE STRICTLY FINAL, FULLY EARNED BY BITSPIRE LLC, AND 100% NON-REFUNDABLE FROM THE EXACT MOMENT THE PAYMENT TRANSACTION IS EXECUTED.

14.2 Universal Application: This strict zero-refund policy applies unconditionally to all purchases, regardless of:

• The payment method utilized—including credit and debit card transactions processed securely via bitspire.eu, direct bank wire transfers (SEPA/SWIFT), or digital asset settlements;
• Whether you have assigned your purchased LandUnits to specific coordinates on the map interface or left credits unassigned in your account balance;
• Lack of third-party advertising campaign activity over your selected coordinates or zero variable distribution outcomes;
• Subsequent decision to cease using the platform, account closure, or change of business intent.

14.3 ABSOLUTE CHARGEBACK & DISPUTE WAIVER:

• You explicitly and irrevocably waive any legal or contractual right to request, demand, or initiate a chargeback, payment reversal, merchant dispute, or bank recall with your credit card issuer, issuing bank, or payment provider for any transaction executed on bitspire.eu or via bank transfer.
• Fraudulent Dispute Consequences: Initiating an unauthorized chargeback or filing a false “item not received” dispute for a transaction where server logs confirm digital delivery constitutes a material breach of contract and a fraudulent act. Upon detecting an unauthorized chargeback or payment reversal attempt, Bitspire LLC reserves the absolute right to:
  1. Immediately terminate your account and forfeit all associated LandUnits, credits, and pending balances without compensation;
  2. Submit server fulfillment logs, checkout IP records, and signed checkout agreements to card networks (Visa/Mastercard) and acquiring banks to defeat the fraudulent claim;
  3. Pursue legal action to recover disputed funds, associated bank chargeback penalties, administrative costs, and legal fees;
  4. Report the incident to international merchant anti-fraud databases and credit reporting agencies.

15. COMPULSORY RECLAMATION, PROHIBITED CONDUCT & CONTENT ENFORCEMENT

15.1 User Conduct on Assigned Coordinates: You are strictly responsible for all custom promotional offers, coupons, brand text, links, or media uploaded or displayed on your assigned LandBits coordinates. You warrant that all content displayed on your coordinates complies with applicable marketing, consumer protection, and intellectual property laws.

15.2 Prohibited Content: You shall not post, display, link to, or promote content on assigned coordinates that:

• Promotes illegal goods, weapons, narcotics, counterfeit items, or criminal acts;
• Contains hate speech, discrimination, obscenity, defamation, violent extremism, or child exploitation;
• Incites religious, political, or racial tensions;
• Contains phishing links, malware, computer viruses, or unauthorized scraping code;
• Infringes third-party copyrights, trademarks, or publicity rights.

15.3 Right of Compulsory Reclamation: If Bitspire LLC reasonably determines that you have placed prohibited content on your assigned coordinates, engaged in fraudulent activity, or breached these Terms:

• Bitspire LLC reserves the absolute right to compulsorily acquire, reclaim, and unassign your LandUnits immediately without notice and without compensation or refund;
• Reclaimed LandUnits shall return to the ownership of Bitspire LLC for reassignment or resale to preserve platform integrity;
• Compulsory reclamation and account suspension under this Section represents your sole and exclusive remedy, designed strictly to protect Bitspire LLC’s legitimate commercial interests and platform safety.

16. SANCTIONS COMPLIANCE, SOURCE OF FUNDS, TAX RESPONSIBILITY & LIQUIDATED DAMAGES

16.1 Sanctions & Anti-Money Laundering Warranties: You represent, warrant, and certify under penalty of perjury that:

• Neither you, nor any entity you represent, appears on any list of sanctioned individuals or entities maintained by the United States Office of Foreign Assets Control (OFAC), European Union, United Nations, or United Kingdom;
• You are not operating as or executing payments through a Foreign Shell Bank;
• You do not reside in, and will not transfer funds from or through bank accounts in, any Non-Cooperative Jurisdiction designated by international anti-money laundering bodies (e.g., FATF);
• All funds utilized to purchase LandBits packages or execute wire transfers are derived strictly from legitimate, lawful business activities and are not connected to criminal conduct or money laundering.

16.2 User Tax Responsibility:

• All transactions involving LandBits packages and platform usage may be subject to local sales tax, Value-Added Tax (VAT), Digital Services Tax (DST), or income tax depending on your jurisdiction of residence or incorporation.
• You bear sole, exclusive responsibility for declaring, accounting for, and remitting all applicable taxes, duties, and government levies arising from your purchase of LandBits packages or receipt of variable ad fee distributions to competent tax authorities.
• Bitspire LLC shall not be liable for your tax obligations or failure to comply with local tax reporting rules.

16.3 Account Termination & Liquidated Damages:

• If your user account is terminated by Bitspire LLC for cause—including fraud, API manipulation, bot farming, unauthorized chargeback abuse, or sanctions violations—you explicitly agree that all digital LandUnits, credits, and account balances then held in your account shall be immediately forfeited to Bitspire LLC.
• You explicitly acknowledge and agree to pay Bitspire LLC liquidated damages equal to the original purchase value of all digital assets and LandUnits held in your account at the time of termination. You acknowledge that this liquidated damages provision is a reasonable pre-estimate of Bitspire LLC’s administrative, technical, and legal costs incurred to remediate platform abuse and is not a penalty.

PART III: SURPRISEMAP — MASTER LICENSE (B2B REGIONAL ADVERTISING PLATFORM)

17. LEGAL NATURE, SCOPE & OPERATIONAL RIGHTS OF THE MASTER LICENSE

17.1 B2B Master Operating Right: A SurpriseMap Master License (variously referred to as “Master License,” “Master Regional License,” or “Master Operating License”) purchased through bitspire.eu or executed via a formal Master License Agreement constitutes a specialized B2B Software-as-a-Service (SaaS) operational right granted by Bitspire LLC to a business entity (“Master Licensee”).

17.2 Scope of Master Rights: Subject to continuous compliance with these Terms and timely settlement of all required Master License Fees, Bitspire LLC grants the Master Licensee an exclusive, revocable, non-transferable B2B master license to operate the SurpriseMap location-based advertising platform within a designated country or geographic region (“Territory”). The Master License includes the right to:

• Access and utilize the central Admin Panel and regional management tools to configure Territory settings, currency displays, localization packs, and moderation flags;
• Solicit, onboard, administer, and manage Advertisers, regional ad agencies, and local merchants within the Territory;
• Create, publish, schedule, and approve location-based advertising campaigns, promotional coupons, virtual Surprise Boxes, and brand activations targeting coordinates inside the Territory;
• Set local advertising pricing models, commercial margins, campaign packages, and advertiser billing terms at the Master Licensee’s sole commercial discretion;

• Originating IP address, device fingerprint, and browser session headers used during checkout;
• Payment Service Provider (PSP) authorization approval codes, transaction reference IDs, and card scheme response tokens;
• Precise database credit allocation timestamps recording the exact moment digital units were credited to the purchaser’s landbits.io ledger;
• Post-delivery user activity logs confirming subsequent login sessions, coordinate browsing, or unit assignment actions.

A3.2 Irrefutable Proof Against “Item Not Received” Claims: The purchaser explicitly agrees that the presentation of server database allocation logs, checkout IP address records, and electronic dispatch receipts by Bitspire LLC shall constitute conclusive, irrefutable, and legally binding proof of delivery against any claim of “product not received,” “service non-fulfillment,” or “unauthorized transaction.”

ANNEX B: CARD PAYMENT PROCESSING, MERCHANT COMPLIANCE & BINDING CHARGEBACK WAIVER

B1. MERCHANT OF RECORD & VISA/MASTERCARD NETWORK COMPLIANCE

B1.1 Merchant Identifiers: Card transactions initiated through bitspire.eu are processed directly by authorized PCI-DSS Level 1 compliant Payment Service Providers (PSPs) and acquiring banks. Bitspire LLC operates as the official Merchant of Record (MoR) for all digital product sales across its ecosystem.

B1.2 Descriptor Standards: Transactions will appear on the cardholder’s bank or credit card statement under merchant descriptors such as: BITSPIRE.EU, BITSPIRE LLC, or LANDBITS.IO.

B1.3 Card Scheme Compliance: Bitspire LLC operates in full compliance with Visa Core Rules, Mastercard Merchant Rules, and PCI-DSS data security standards. Bitspire LLC does not directly store, process, or transmit raw credit card Primary Account Numbers (PAN) or CVV security codes on its primary servers. All card data entry is executed strictly via encrypted, tokenized payment frames managed by licensed PSP partners.

B2. EXPLICIT & IRREVOCABLE CHARGEBACK WAIVER

B2.1 EXPLICIT WAIVER OF CHARGEBACK RIGHTS: BY PURCHASING ANY LANDBITS PACKAGE, MASTER LICENSE, OR DIGITAL CREDIT BALANCES VIA CREDIT/DEBIT CARD ON BITSPIRE.EU OR VIA BANK WIRE TRANSFER, THE PURCHASER EXPRESSLY, UNCONDITIONALLY, AND IRREVOCABLY WAIVES ANY RIGHT TO REQUEST, INITIATE, DEMAND, OR PURSUE A CHARGEBACK, PAYMENT REVERSAL, MERCHANT DISPUTE, OR BANK RECALL WITH THEIR CREDIT CARD ISSUING BANK, CARD NETWORK (VISA/MASTERCARD/AMEX), OR PAYMENT GATEWAY.

B2.2 Acknowledgment of Non-Refundable Nature: The purchaser acknowledges that they have read, understood, and agreed to Section 7 (General Refund Policy), Section 14 (LandBits Absolute Non-Refundable Policy), and Section 20 (Master License Non-Refundable Policy) prior to completing checkout. The purchaser explicitly accepts that digital software assets are instantly activated and non-returnable, rendering all executed sales strictly final and 100% non-refundable.

B2.3 Prohibition of False Dispute Claims: Initiating a chargeback claim under false pretenses—including alleging “item not received” when server logs confirm digital account credit, or claiming “unauthorized transaction” after completing checkout from a verified user IP address—constitutes an unlawful breach of contract, a violation of merchant terms, and a civil fraud against Bitspire LLC.

B3. EVIDENTIARY STANDARD FOR MERCHANT DISPUTE DEFENSE

B3.1 Binding Evidence for Acquirers & Issuing Banks: In the event that a purchaser breaches Section B2.1 and files a payment dispute or chargeback attempt with their issuing bank, the purchaser explicitly authorizes Bitspire LLC to submit this Agreement, along with the following irrefutable server evidence, to the acquiring bank, issuing bank, card network, and judicial courts:

1. Signed digital acceptance timestamps confirming the purchaser checked the mandatory box agreeing to these Terms and the Non-Refundable Policy during checkout on bitspire.eu;
2. Purchaser IP address, geolocation data, and device identification logs captured at checkout matching the cardholder’s authorization data;
3. Database ledger timestamps proving real-time credit allocation of LandUnits or Master License Admin Panel activation;
4. Post-checkout account login logs confirming the purchaser subsequently accessed and utilized the software platform;
5. Email dispatch logs confirming instant delivery of electronic receipts and invoices.

B3.2 Preclusive Effect: The purchaser agrees that the evidence listed in Section B3.1 shall serve as complete, preclusive, and fatal defense evidence against any chargeback claim, requiring the issuing bank or card scheme to immediately reject the cardholder’s dispute and rule in favor of Bitspire LLC.

B4. FRAUDULENT CHARGEBACK REMEDIATION, PENALTIES & LIQUIDATED RECOVERY COSTS

B4.1 Immediate Account Freeze & Asset Forfeiture: Upon receiving formal notice of a chargeback attempt, transaction dispute, or card retrieval request from a payment processor:

• Bitspire LLC shall immediately freeze and suspend the purchaser’s user account, access credentials, and Admin Panel rights;
• All digital LandUnits, coordinate allocations, platform credits, and pending variable ad distribution balances associated with the account shall be immediately forfeited and locked without compensation;
• In the case of a Master License, territorial exclusivity shall immediately terminate and revert to Bitspire LLC under Section 27.2.

B4.2 Recovery of Chargeback Penalties & Administrative Fees: If a purchaser unlawfully initiates a chargeback dispute that results in bank processing fees, administrative fines, or merchant dispute assessment charges imposed on Bitspire LLC by card schemes or acquirers:

• The purchaser shall become immediately liable to reimburse Bitspire LLC for the full face value of the disputed transaction;
• The purchaser explicitly agrees to pay Bitspire LLC a fixed administrative penalty fee of Two Hundred Fifty United States Dollars ($250.00 USD) per disputed transaction to cover internal legal handling and dispute processing costs;
• The purchaser shall reimburse Bitspire LLC for all actual acquiring bank chargeback penalties ($15.00–$100.00 USD per dispute) and associated external legal fees incurred to defeat the fraudulent claim.

B4.3 Legal Remedies & Fraud Reporting: Bitspire LLC reserves the absolute right to pursue all available legal remedies to recover disputed funds, penalties, damages, and legal costs from the purchaser through competent courts in Tbilisi, Georgia, or the purchaser’s local jurisdiction. Furthermore, Bitspire LLC may report fraudulent chargeback initiators, compromised account credentials, and associated IP addresses to international merchant fraud prevention networks, credit bureaus, and law enforcement authorities.
