Throughout these Terms, “Bitspire,” “Company,” “we,” “our,” or “us” refers to Bitspire LLC. “Client,” “User,” or “you” refers to any business entity or individual accessing or purchasing software products through our platform.
2. Acceptance of Terms
By accessing our website, creating an account, or purchasing any digital software products or SaaS subscriptions, you explicitly agree to be bound by these Terms of Use.
If you do not agree with any part of these Terms, you must discontinue the use of our website and services immediately.
3. Scope of Services & Products
Bitspire operates a B2B digital software distribution platform and SaaS ecosystem. Our product offerings strictly consist of standardized, fully automated digital products and software licenses, including:
SaaS Subscriptions: Cloud-based software tools, web utility applications, and API access;
Digital Software Licenses: Standardized user licenses and access keys for proprietary Bitspire ecosystem tools;
Digital System Deliverables: Pre-compiled web utilities, scripts, and downloadable software assets.
Important Service Exclusions: Bitspire does not offer manual consulting, bespoke agency programming, hourly IT labor, or custom manual development services under standard checkout orders. All products sold through our online checkout are 100% automated digital systems requiring no manual human fulfillment.
4. Digital Software Licensing
When purchasing a software product or SaaS plan through our webshop, Bitspire grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the software tool solely for your internal business operations.
Licenses are issued automatically upon payment verification;
Users may not resell, sublicense, reverse-engineer, decompile, or redistribute Bitspire software unless governed by a specific corporate licensing contract;
Unfinished or unauthorized use of our API endpoints or software assets will result in immediate license revocation.
5. Intellectual Property Rights
All source code, software architecture, UI/UX designs, trademarks, logos, and technical documentation displayed or distributed through Bitspire are the exclusive intellectual property of Bitspire LLC or its licensors.
Nothing in these Terms transfers ownership of any software code, platform framework, or trademark to the Client.
6. Service Orders, Pricing, and Billing
Pricing & Currencies: All product pricing is listed in Euros (EUR) or United States Dollars (USD) as displayed at checkout. Prices exclude applicable local sales taxes or VAT unless stated otherwise.
Payment Execution: Payments are processed via secure, PCI-DSS Level 1 compliant Payment Service Providers (PSPs) or Merchant of Record (MoR) platforms. Bitspire does not store or process cardholder PAN data directly.
Recurring Billing (Subscriptions): SaaS subscriptions are billed on a recurring monthly or annual basis. You may manage or cancel your automated subscription renewal at any time via your user dashboard.
7. Automated Delivery & Fulfillment
Because Bitspire deals exclusively in digital software products and automated SaaS platforms:
Delivery Timeline: Digital license keys, system login credentials, and API access tokens are delivered instantly and automatically upon successful card authorization.
Proof of Delivery: Delivery is logged electronically via automated server dispatch logs, account creation timestamps, or email activation receipts.
8. User Responsibilities & Acceptable Use
Clients agree to:
Provide accurate legal entity, contact, and billing details during registration;
Maintain the security of account credentials and API access tokens;
Refrain from utilizing Bitspire software tools for malicious activities, including spamming, cyberattacks, network scanning, or illegal data harvesting;
Comply with all local and international laws governing software usage and copyright.
9. Disclaimers & Warranties
All Bitspire software products and SaaS tools are provided on an “AS IS” and “AS AVAILABLE” basis.
To the maximum extent permitted by law, Bitspire disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
While we strive for 99.9% cloud server uptime, Bitspire does not warrant that software execution will be completely uninterrupted, error-free, or compatible with every third-party system setup.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Bitspire LLC’s cumulative liability for any direct claims arising out of the use of our software shall not exceed the total amount paid by the Client for the specific product or subscription during the three (3) months prior to the claim.
Bitspire shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, business interruption, or data corruption.
11. Termination & Suspension
Bitspire reserves the right to suspend or terminate user account access, license keys, or API tokens immediately and without prior notice if:
The Client breaches any provision of these Terms;
Fraudulent transaction activity or chargeback abuse is detected;
Payment authorization is declined or reversed.
12. Refunds and Cancellations
Digital product purchases, software license keys, and activated subscription periods are subject to our separate Refund Policy. Due to the immediate, non-returnable nature of digital software access, refunds are generally restricted once a software license or API access key has been generated and dispatched.
13. Third-Party Integrations
Our software tools may integrate with third-party APIs or infrastructure providers. Bitspire is not responsible for performance interruptions or terms enforced by external third-party service providers.
14. Governing Law and Dispute Resolution
These Terms of Use shall be governed by and construed in accordance with the laws of Georgia.
Any legal disputes or claims arising out of these Terms or the use of Bitspire products shall be submitted to the exclusive jurisdiction of the competent courts in Tbilisi, Georgia.
